一、委员会简介

国际数字产业委员会（IDAC），是一个专业从事数字资产技术研究、行业规则定制的非营利性国际机构（以下简称委员会），成立于2011年4月15日，总部设在香港。
International Digital Assets Committee (IDAC) is a non-profit international organization (hereinafter referred to as the committee) specializing in digital asset technology research and industry rules customization. It was established on April 15, 2011 and is headquartered in Hong Kong.
委员会会员：

包括社会机构、公益组织、企业等企业会员，以及企业家、经济学者、金融工作者、法律工作者、娱乐圈人士、文艺圈人士和其他各个行业的有志人士等个人会员；来自中国大陆、香港、台湾、澳门、美国、英国、德国、法国、意大利、俄罗斯、印度尼西亚、马来西亚、泰国、越南、日本、韩国、帕劳等多个国家和地区。目前委员会直属企业会员已逾1000席，间接企业会员及各界关联企业单位逾30000席。
It includes corporate members such as social organizations, non-profit organizations, and enterprises, as well as individual members such as entrepreneurs, economists, financial workers, legal workers, entertainment professionals, literary circles, and other interested individuals in various industries; from Hong Kong. Taiwan, Macao, the United States, the United Kingdom, Germany, France, Italy, Russia, Indonesia, Malaysia, Thailand, Vietnam, Japan, South Korea, Palau and other countries and regions. At present, the number of members directly affiliated to the committee has exceeded 1,000, and the number of indirect corporate members and related enterprise units has exceeded 30,000.

5）组织各类展会及酒会，促进各经营领域和流通渠道资源共享，扩大您的交际领域。
委员会的服务也会因应会员的实际需要而改变。委员会的服务不以商业性质收费为原则，其目的是推动数字资产国际化良性发展。衷心希望与社会各界和中外数字资产爱好者们加强联系，携手合作，共同发展！
Digital technology research and development, digital asset management, holding seminars, exhibitions, industry newspapers; providing, but not limited to, the following services to members worldwide:
1) The digital industry exhibition period, collaborative exhibition, providing exhibition accommodation, ticket reservation, booth application and support.
2) Regularly release digital asset information to each member to introduce the development of the industry so that you can gain insight into business opportunities in various industries in a timely manner.
3) Establish representative offices for members in major cities around the world, as well as lawyer support services.
4) Provide business consultations around the world to help communicate with local governments and make investment and business smoother.
5) Organize various exhibitions and cocktail parties, promote the sharing of resources in various business areas and distribution channels, and expand your communication field.
The services of the committee will also change in response to the actual needs of the members. The Commission’s services are not based on commercial charges, and their purpose is to promote the sound development of digital assets internationalization. I sincerely hope to strengthen contact with all walks of life and Chinese and foreign digital asset enthusiasts, work together and develop together!
二、委员会章程
2.Committee charter.
第一章 总则
Chapter 1 General
第一条 国际数字产业委员会（IDAC）是2011年在香港注册登记的具有社团法人资格的香港海内外商贸组织，是为会员提供一个互相交流、共同推进数字产业发展的平台和纽带。
Article 1. The International Digital Assets Board (IDAC) is a Hong Kong-based business organization registered in Hong Kong with corporate legal personality in 2011. It is a platform and link for members to exchange ideas and jointly promote the development of digital assets.
第二条 一切活动以《联合国国际公约》、《香港基本法》及各国当地法律为准则，要求会员是爱和平、爱民族、爱国家、爱社会、爱家庭、爱自己、奉公守法的数字资产爱好者。
Article 2. All activities are based on the UN International Convention, the Hong Kong Basic Law and the local laws of various countries. Members are required to be lovers of digital assets who love peace, love the nation, love the country, love the society, love the family, love themselves, and abide by the law.
第三条 宗旨：为数字产业的全球关联企业和个人爱好者提供一个互相交流，共同推进数字产业发展的平台，并希望能通过“委员会”促进全球生活数字化、全球经济一体化，让世界人民拥有无障碍的数字化生活环境，让生活更美好。
Article 3. To provide a platform for global affiliates and individual enthusiasts of digital assets to communicate and promote the development of digital assets, and hope to promote the digitalization of global life and the integration of the global economy through the “Committee”, so that the people of the world can own A barrier-free digital living environment that makes life better.
第四条 主要职能与任务：
1、发扬自我奋斗的优良传统，提倡和平、爱国、守法、正能量，提升会员素质和视野。
2、数字产业展会会期，协作参展，提供展会住宿、机票预订、展位申请及支持等。
3、向各会员定期发布数字产业资讯，介绍产业的发展，使您能及时洞察各行业商机。
4、在中国及世界各国的主要城市设立为会员服务的代表处，以及律师支持服务。
5、提供在各地尤其在中国内地经商咨询，协助与地方政府沟通，使投资经商更畅顺。
6、组织各类展会及酒会，促进各经营领域和流通渠道资源共享，扩大您的交际领域。
7、增进世界各国工商社团及工商经济界人士的联系和友谊，促进经济、技术和贸易合作的发展，协助引进资金、技术、人才。
8、促进全球生活数字化、全球经济一体化，让全球用户拥有无障碍的数字化生活环境，生活更美好。
Article 4. Main functions and tasks.
1. Carry forward the fine tradition of self-strengthening, promote peace, patriotism, law-abiding, positive energy, and enhance the quality and vision of members.
2, digital assets exhibition period, collaborative exhibition, provide exhibition accommodation, ticket booking, booth application and support.
3. Regularly release digital asset information to all members to introduce the development of the industry so that you can gain insight into business opportunities in various industries in a timely manner.
4. Set up representative offices for members and services in major cities in China and around the world, as well as lawyer support services.
5. Provide business consultations in various places, especially in china, to help communicate with local governments and make investment and business smoother.
6. Organize various exhibitions and cocktail parties, promote the sharing of resources in various business areas and distribution channels, and expand your communication field.
7. Enhance the ties and friendships of business associations and business and economic circles around the world, promote the development of economic, technological and trade cooperation, and assist in the introduction of capital, technology and talents.
8. Promote global digitalization of life and global economic integration, enabling global users to have a barrier-free digital living environment and make life better.
第二章 会员
Chapter 2 Member
第五条 委员会分为企业会员（董事或股东）和个人会员。
1、具有法人资格的各类数字产业关联企业董事/股东，经申请批准后，均可参加本会为企业会员。吸收企业会员的重点是跨国企业、私营企业、事业机构、社会团体等。
2、个体工商者或个体数字资产爱好者，经申请批准后，均可参加本会为个人会员。
Article 5. The committee is divided into corporate members (directors or shareholders) and individual members.
1. The directors/shareholders of various digital asset-related enterprises with legal person status may participate in this association as corporate members upon approval of the application. The of absorbing corporate members is multinational corporations, private companies, institutions, and social groups.
2. Individual business owners or individual digital asset enthusiasts may participate in this association as individual members upon approval of the application.
第六条 实行会员入会自愿和退会自由的原则。会员如违反本会章程，本组织可决定停止或取消其会籍。
Article 6. The principle of voluntary membership and freedom of withdrawal is enacted. If a member violates the articles of association, the organization may decide to stop or cancel its membership.
第七条 委员会会员有下列权利：
1、成为会员除获得以上服务外，特惠期内另享有以下服务：
a. 会员资格证书、VIP卡、会员牌匾。
b. 免费使用香港办公室1次，租用香港两地牌照车辆享8折优惠。
c. 免费陪同香港参展服务，免费提供场务人员。
d. 香港实报税服务费8折优惠。
e. 香港办公室/会议室租赁8者优惠。
f. 酒店及香港律师服务费8折（折后再9折）。
2、向本会反映意见、要求和建议，对本会的工作提出意见和批评；
3、参加本会的各项活动；
4、在本会有表决权、选举权和被选举权；
5、要求本会维护其合法权益。
Article 7. Members of the Committee have the following rights:
1. Becoming a member in addition to the above services, the following services are available during the special period:
a. Membership certificate, VIP card, membership card.
b. Free use of the Hong Kong office for one time and a 20% discount on rental vehicles in Hong Kong.
c. Free accompanying Hong Kong participation service, free of charge for field staff.
d. 20% discount on Hong Kong's actual tax service fee.
e. Hong Kong office/conference room rental 8 offer.
f. 20% off hotel and Hong Kong lawyer service fees (10% off after discount).
2. To express opinions, demands and suggestions to the Association, and to provide opinions and criticisms on the work of the Association;
3. Participate in various activities of the Association;
4. In the present, there will be voting rights, voting rights and the right to be elected;
5. Require the Association to safeguard its legal rights and interests.
第八条 会员有下列义务：
1、遵守会章；
2、执行决议；
3、交纳会费；
4、办理本会委托的事项。
Article 8. Members have the following obligations:
1. Obey the chapter;

3. Pay the dues;
4. Handling the matters entrusted by this Council.
第九条 会员有以下任一行为会被取消会员资格：
1、未尽会员义务；
2、公然诋毁委员会；
3、从事损害数字产业健康发展秩序行为情节严重；
4、从事损害其他会员利益行为情节严重；
5、违反国家律法被判刑者。
Article 9. A member who has any of the following acts will be disqualified:
1. Failure to fulfill the membership obligations;
2. Openly defaming the committee;
3. The circumstances of the damage to the healthy development of digital assets are serious;
4. The circumstances in which the interests of other members are harmed are serious;
5. Those who have been sentenced in violation of the national law.
第三章 组织
Chapter 3 Organization
第十条 委员会
1、会员代表大会称之为委员会，分为全球、洲际、国家、省级、市级、区级共六级组织，形成上下从属关系，上级委员会有权依据管理条例监督或改组下级委员会。
2、各级委员会由36名会员代表组成，设秘书长1席，副秘书长2席，常委6席，委员27席；其中，秘书长由上级委员会委派，是委员会最高级别负责人，副秘书长、常委必须是企业会员担任。
3、国际数字产业全球委员会由本委员会创始机构国际数据集团（CIDG）负责发起，并担任永久秘书长，其余常委及委员均由全球最有影响力的数字产业关联企业和杰出人士轮选担任。各个洲际、国家、省级、市级、区级等五级委员会在相应地区普选后呈报上级组织核准生效。
4、任意合格的会员均有资格参选成为各级委员会委员，当选的委员无论何种席位，每届任期均为两年，最多连任两届。
5、各级委员会每年召开一次全体会议，必要时可以提前、延期召开以及增加会议次数。
6、各级委员会负责积极带动和维护辖区内数字产业的健康发展秩序和氛围。
Article 10. Committee
1. The member representative assembly refers to the committee and is divided into six levels of organizations at the global, intercontinental, national, provincial, municipal, and district levels to form subordinate relationships. The superior committee has the power to supervise or reorganize the subordinate committees in accordance with the regulations.
2. The committees at all levels are composed of 36 member representatives, including 1 secretary-general, 2 deputy secretary-generals, 6 standing committee members and 27 members. Among them, the secretary-general is appointed by the higher-level committee and is the highest-level person in charge of the committee. The long and standing committee members must be members of the company.
3. The Global Committee on International Digital Assets was initiated by the Commission's founding agency, International Data Group (CIDG), and served as the permanent secretary-general. The remaining members and members were elected by the world's most influential digital asset-related companies and prominent individuals. The five-level committees at the intercontinental, national, provincial, municipal, and district levels shall be submitted to the higher-level organizations for approval after they are elected by the corresponding regions.
4. Any qualified member is eligible to participate in the election as a member of the committee at all levels. The elected members are appointed for a maximum of two consecutive terms, regardless of the number of seats.
5. The committees at all levels hold a plenary meeting every year. If necessary, they can convene in advance, postpone the meeting and increase the number of meetings.
6. The committees at all levels are responsible for actively promoting and maintaining the healthy development order and atmosphere of digital assets within their jurisdiction.
第十一条 委员会的职权：
1、选举和罢免秘书长、常委、委员。
2、决定会员的吸收和除名。
3、研究、定制辖区内数字产业发展的决议，呈报上级组织批复后实施。
4、甄选、罢免和监督理事会。
5、筹备召开会员大会。
6、制定内部管理制度。
7、决定其他重大事项。
8、向会员报告工作。
Article 11. The powers of the committee:
1. Election and removal of the chairman, standing committee members and members.
2. Decide on the absorption and delisting of members.
3. Research and customize the resolution on the development of digital assets in the jurisdiction, and report it to the higher-level organization for approval.
4. Selection, removal and supervision of the Council.
5. Prepare to hold a general meeting.
6. Develop an internal management system.
7. Decide on other major issues.
8. Report the work to the member.
第十二条 委员会议须有三分之二以上委员出席方能召开，做出决议也必须由委员会议三分之二以上表决通过方可生效。
Article 12. A committee meeting must be attended by more than two-thirds of the members, and the resolution must also be passed by more than two-thirds of the committee's resolutions.
第十三条 委员会秘书长、副秘书长、常委的职权：
1、筹备召开委员会议。
2、执行委员会的决议。
3、审核财务报告。
4、研究决定日常工作中的其他事项。
Article 13. The functions and powers of the Secretary-General, Chairman and Standing Committee of the Committee:
1. Prepare to hold a committee meeting.
2. The resolution of the Executive Committee.
3. Review financial reports.
4. Research determines other matters in daily work.
第十四条 委员会委员资格取消的规定
1、上级组织的任免规定；
2、无故缺席委员会议三次以上；
3、不履行委员会的决议；
4、委员会投票罢免。
Article 14. Provisions for the Cancellation of the Membership of Committee Members
1. The appointment and dismissal rules of the superior organization;
2. The committee is absent for more than three times without reason;
3. Failure to comply with the resolutions of the committee;
4. The committee voted to remove it.
第十五条 理事会
1、理事会是委员会的执行机构，负责落实委员会的具体决议，对委员会负责。
2、理事会原则上由理事长1席和理事8席组成，所有成员的甄选和罢免均由委员会执行。
3、理事会负责辖区的日常工作，与会员交流，汇集各项决议提案呈报委员会。
Article 15. Council
1. The Board of Directors is the executive body of the committee and is responsible for implementing the specific resolutions of the committee and is responsible to the committee.
2. The Council shall in principle consist of one chairman and eight directors. The selection and removal of all members shall be performed by the committee.
3. The Board of Directors is responsible for the daily work of the district, exchanges with members, and brings together the resolution proposals submitted to the committee.
第四章 资产
Chapter 4 Assets
第十六条 委员会经费来源：
1、会费。
2、捐赠。
3、资助。
4、在核准的业务范围内开展活动或服务的收入。
5、其他合法收入。
Article 16. Sources of funding for the committee:
1. Membership fees.
2. Donation.
3. Funding.
4. Income from activities or services carried out within the approved business scope.
5. Other legal income.
第十七条 会费
1、本委员会依照国家有关规定，结合委员会实际情况收取会员会费，加入普通会员特惠价格为30000CMV（两年费用）。
2、会员自愿竞选担任委员会各级委员会的委员、常委、秘书长、理事、理事长，需按级别规定另外交纳常务会费（以实时政策为准）。
Article 17
1. In accordance with the relevant regulations of the State, the Commission collects membership dues in light of the actual situation of the Commission, and the preferential price for joining ordinary members is 30000CMV (two-year fee).
2. Members voluntarily run for committees, standing committee members, chairmen, directors, and directors of committees at all levels of the committee. Additional membership fees are required to be paid according to the level (subject to real-time policies).
第五章 附则
Chapter 5 Supplementary Provisions
第十八条 对本章程的修改，需经委员会表决通过后，递交秘书长通过。本章程的解释权归本委员会所有。
Article 18 The amendments to the Articles of Association shall be submitted to the Secretary-General for approval after being approved by the Committee. The right to interpret this charter belongs to this committee.
第十九条 本章程自本委员会首次定制日2011年4月15日起生效。
Article 19 The Articles of Association shall come into effect on April 15, 2011, the first custom day of the Committee.
